A private stock investment is an equity stake in a company that is not listed on the public stock exchange. Typically these organizations range from companies that are start-ups to ones raising capital for expansion.	An investment in a private LLC is an equity structure that allows a group of people to invest together in various things like real estate, cryptocurrency, stocks, and other businesses. A managing member manages an LLC, and an investor becomes a member with limited liability protection.	A private LP is an equity stake in an entity or fund managed by a General Partner, where the investor becomes a Limited Partner with limited liability to the extent of their investment.

SECURED PROMISSORY NOTE	CORPORATE DEBT	CONVERTIBLE NOTE
A secured promissory note is a loan made to a payor that is secured by some type of collateral such as real estate, business equipment, inventory, or accounts receivable. If the payor fails to pay, the payee can seize the designated property to offset the loan.	Corporate debt is a debt instrument issued by a firm and sold to an investor which allows the company to get the capital it needs, and in return, the investor is paid a pre-established number of interest payments at a designated rate.	A convertible note is a form of short-term debt that converts to equity, typically used for startups to get their first round of funding, and instead of getting their money back with interest, the investors receive shares of preferred stock as part of the startup’s initial preferred stock financing, as outlined by the note terms.

DIRECTLY OWNED REAL ESTATE	TRUST DEED or REAL ESTATE CONTRACT	LLC-STRUCTURED REAL ESTATE OFFERING
Directly owned real estate is when your IRA holds direct ownership of a real estate property. It’s a “hands-on” investment in which you direct any expenses, property taxes, improvements, etc. to be paid from available funds in your IRA. If the property is income-producing, a property manager may be required to handle the receipt of rental income and the payment of expenses.	A trust deed or real estate contract is a secured private debt structure that allows your IRA  to loan funds to a borrower for the purchase of a home, and your IRA holds legal title to the property until the loan is fully paid. The borrower makes monthly payments to your IRA, and you can foreclose on the property in the event of default.	An investment in a private LLC structured for a real estate offering is a private equity structure that allows a group of people to invest in a real estate property, common for multifamily housing, commercial, or industrial property. A managing member manages the LLC, and an investor becomes a member with limited liability protection.
