Compliance items to note for private debt

When investing in private debt through a self-directed IRA, investors should keep the following requirements in mind:

  • Prohibited transactions

    The loan cannot involve disqualified persons such as the account holder, certain family members, or entities they control.

  • Documentation

    Loan agreements, promissory notes, and payment instructions must be submitted to STRATA for custody and reporting.

  • Payments

    Principal and interest payments must go directly into the IRA. Personal bank accounts may not be used. 

  • Payment application

    Accountholders must provide debtors with the IRA titling information, and debtors must include it on all payments to ensure funds are applied to the correct IRA account.

  • Fund our account via transfer, rollover, or contribution.
  • Funding will be dependent on other financial institutions' processing times, which can be 10-14 days (up to 30 days for rollovers).

  • Ensure asset registration is in STRATA's name since the IRA will own the investment for the benefit of (FBO) the accountholder name.
  • Submit STRATA's Investment Direction-Private Investment form and upload supporting documentation to authorize funds to the investment sponsor.
